This Points Standing Online Services Contract (this "Contract") is made effective as of _________________________, by and between __________________________________, of _____________________________, __________________, ________ Zipcode ________ , and H. D. Specialties, of 906 W MCDermott Dr 116-155, Allen TX 75013. In this Contract, the party who is contracting to receive the services shall be referred to as " Contractor ", and the party who will be providing the services shall be referred to as " H. D. Specialties ".

1. DESCRIPTION OF SERVICES. Beginning on __________ ___, ______, H. D. Specialties will provide the following services (collectively, the "Services"):

Create points standing database, setup links, and pages for displaying the points standings of all divisions racing at Contractor’s Race Track for the 2003 racing season. Pages to be displayed in Contractors web site with logo, colors and sponsors provided by Contractor.

Database will be maintained on the www.points-standing.com server and all results posted become the property of H. D. Specialties for use on contractors web site and other web sites displaying or using points from racing events.

H. D. Specialties will make updates, as required, to keep the database operation current for use with contractors website and for the series supported.

Contractor is responsible for posting, (input and updates of all race results) using the links and pages provided within the points system provided by H. D. Specialties.

2. PAYMENT FOR SERVICES. Contractor will pay compensation to H. D. Specialties for the Services based on $ 300.00 per year. There will be a one time charge of $200.00 for the setup of database and creation of links to be placed in contractors web sites. Contract will be renewed annually for $400.00 per year or until contractor gives notification of cancellation.

3. TERM/TERMINATION. This Agreement may be terminated by either party after the initial 1 year period, upon 60 days written notice to the other party.

4. RELATIONSHIP OF PARTIES. It is understood by the parties that H. D. Specialties is an independent contractor with respect to Contractor, and not an employee of Contractor. Contractor will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of H. D. Specialties.

5. ENTIRE AGREEMENT. This Agreement contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written.
